These Terms of Use (“Terms”) govern your access to and use of jmicapital.coand the related investor portal (collectively, the “Site”) operated by Jackson MS Investments, LLC (“JMI Capital”, “we”, “us”). By accessing the Site you agree to be bound by these Terms.

The Site is informational only and does not constitute an offer to sell, a solicitation of an offer to buy, or a recommendation of any security or other investment. Investment opportunities, when available, are extended only to verified accredited investors via separate offering documentation and a private placement memorandum.

Access to the JMI Capital investor portal is conditioned on your representation that you qualify as an “accredited investor” as defined in Rule 501(a) of Regulation D under the U.S. Securities Act of 1933, as amended. We reserve the right to request documentation verifying your accredited status before granting or continuing portal access.

Nothing on the Site constitutes investment, legal, accounting, or tax advice. We are not your fiduciary, broker-dealer, investment adviser, or tax adviser. You should consult your own licensed professionals before making any investment decision.

You may not copy, redistribute, or create derivative works without our prior written permission.

The Site may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of those sites. Links are provided for convenience only and do not imply endorsement.

The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, JMI Capital and its affiliates, members, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site.

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Hinds County, Mississippi.

We may update these Terms from time to time. Material changes will be posted here with a new effective date. Continued use of the Site after changes are posted constitutes acceptance.
